Clarisse Young Shumaker

Ms. Shumaker is an experienced litigation attorney who handles general business litigation with specializations in real estate and corporate insolvency matters. Her extensive background in business reorganizations has served her well in analyzing and litigating general business matters, especially real estate related litigation. She has mediated several matters to settlement, thereby saving her clients the time and expense of costly litigation.

She has represented debtors in possession, institutional creditors and creditors’ committees, in addition to numerous clients in real estate related bankruptcy matters. Ms. Shumaker has also handled fraud issues in bankruptcy cases. She worked on one of the largest chapter 11 cases in the San Francisco Bay Area involving numerous related real estate investment entities, financial entities and hundreds of investors. She previously obtained confirmation of a chapter 11 plan for a horse ranch, at the time the only successful chapter 11 plan of a horse ranch in the country.

Ms. Shumaker began her legal career at Pacht Warne Bernhard & Sears and Gendel Raskoff Shapiro & Quittner. She was formally Of Counsel to Stutman, Treister & Glatt; Paul, Hastings, Janofsky & Walker; and Parker Shumaker Mills, LLP.

Sandy Mallory

Partner

Sandy Mallory is a founding partner of Shumaker Mallory, LLP law firm, together with her Michigan Law School classmate, Clarisse Young Shumaker. Sandy is a transactional real estate and business law attorney, with a specialization in commercial leasing, representing both tenants and landlords in the office, industrial and retail real estate markets. Other areas of expertise include corporate real estate acquisitions, dispositions and financings, liquor license acquisition, business formation, and preparation and negotiation of organizational documents and other business related agreements.

Sandy’s clients include mid to small size business owners, non-institutional developers, pension funds, REITs, Fortune 500 companies, biotechnology companies, startup businesses, family-owned businesses, and large and small retailers, among others. As consummate “foodies,” Sandy and partner Clarisse also have the good fortune of counting among their clients a number of prominent chefs (including Top Chefs and Iron Chefs) and restaurateurs, franchisees, full service and fast-food restaurants, coffee brewers, and other regional and national restaurants. Sandy was previously employed as an attorney at the law firms of Greenberg Traurig (Silicon Valley), Pillsbury, Madison & Sutro (predecessor to Pillsbury Winthrop & Shaw) and Sheppard Mullin, Richter & Hampton, and as in-house counsel at MS Management Services (a Met-Life affiliated Company).

Charles Shumaker

Mr. Shumaker has been providing general legal advice to numerous successful business owners, developers and entrepreneurs for more than 30 years with a focus on business planning and transactions within the real estate, restaurant and media communities. In connection with others at the firm he is responsible for the “Turnkey Restaurant Program”; a fixed fee program providing syndication, leasing, construction and financial management services to new or rapidly expanding restaurant and bar operations.

Actively involved in the Los Angeles political community, Mr. Shumaker has acted as Treasurer or Board Member for many Independent Expenditure Committees which include: The Coalition For School Reform, Yes on Measure R (LA County Sales Tax-passed), Yes on Measure J (Sales Tax-defeated) and Level the Playing Field 2010 (pro-Jerry Brown). He has also served as a Board Member for numerous charities including HELP (Health Care and Elder Law Programs) and The Palos Verdes Library Foundation. He was also a Member of the Planning Commission for Rolling Hills Estates. Mr. Shumaker formerly taught Law and the Visual Arts at Pepperdine Law School as an adjunct professor.

Bennett Yankowitz

Mr. Yankowitz is an experienced corporate and business lawyer and business consultant specializing in ICO and Cryptocurrency transactions. With over 30 years of practice with national law firms, he has extensive experience in all types of business transactions, corporate and securities matters, and financial transactions for corporations, partnerships, investment funds, investor groups, commercial banks, investment banks, money managers, and financial institutions. He has an LL.M. in international law from Cambridge and has worked on a variety of transnational matters.

Mr. Yankowitz has extensive experience in corporate finance and securities matters, including public offerings, private placements and foreign securities offerings and in mergers and acquisitions. Industries in which he has particular experience include oil and gas, entertainment, health care, real estate and venture capital. He also has experience in a wide variety of secured and unsecured corporate credit facilities, municipal financings, asset securitizations, syndicated loan facilities, project financings, leveraged leases, entertainment financings and leveraged buyouts. He worked on some of the first credit-enhanced bond financings backed by commercial real estate, and has completed over $600 million of these transactions. In addition, he has structured a number of investment partnership, hedge funds and venture capital investments.

Mr. Yankowitz has represented and consulted to a number of private investment funds, including venture capital, real estate, private equity and hedge funds. His work includes structuring the funds, advising the management companies and representing the funds on acquisitions and management of portfolio investments.

He is currently Managing Partner of Hancock Ventures LLC, the general partner of Single Oak Ventures, LP, a venture capital fund based in Murrieta, California. He currently is a consultant to PacificWave Partners Limited, a boutique investment bank based in Luxembourg that arranges reverse merger transactions and associated PIPE financings. In that capacity he serves as president and general counsel of two publicly traded U.S. “shell” companies that are in the process of reverse acquisitions of private operating companies in Europe.

Marc Bronstein

After almost three decades of practice in Southern California, Marc A. Bronstein has cultivated a broad reference base and a strong and reliable consulting network. Mr. Bronstein is admitted to the State Bar of California, the U.S. Tax Court, and the U.S. District Court and is a member of the Los Angeles County and Beverly Hills Bar Associations. Mr. Bronstein received his B.S. in accounting from California State University at Long Beach in 1974, and graduated from Loyola University School of Law where he received his J.D. in 1977. In 1979, Mr. Bronstein was licensed as a Certified Public Accountant. He received his Master’s Degree in Taxation from Golden Gate University in 1982. Lisa Hiraide

Emanuel Orlando

Mr. Orlando is an ICO and Cryptocurrency transactions specialist who cultivated his legal skills at the New York blue chip law firm of Kaye Scholer, LLP. There, he cut his teeth working on newsworthy and complex film and television transactions handling some of the biggest names in Hollywood. On the corporate side, Mr. Orlando handled deals for private equity funds (in mergers and acquisitions and fund formation matters) as well as wind energy development companies. On the startup scene, he has successfully represented large restaurants as well as consumer goods, new media, and tech companies all along their evolutionary path — from company formation, to IP licensing, product distribution, consulting and master services agreements, to early stage financings.

Mr. Orlando graduated from Loyola Law School where he was a senior editor for the International and Comparative Law Review. Prior to law school, Emanuel attended Princeton University and thereafter worked for a successful internet consulting firm and major entertainment talent agency.

Brett J. Wasserman

Mr. Wasserman gained legal experience in the fields of workers’ compensation (at Floyd, Skeren & Kelly, LLP), as well as, estate planning, trust administration, bankruptcy, entity formation, transactions, and civil litigation, while concurrently working full time as a law clerk and competing his legal education in Loyola Law School’s evening program.

Mr. Wasserman graduated Loyola Law School, a semester early, with dual concentrations in Civil Litigation and Advocacy and Criminal Justice. In addition, while attending Loyola Law School, Mr. Wasserman honed his advocacy skills in practical, skill-based classes including Advanced Trial Advocacy, Appellate Advocacy, and a Cross Examination Intensive Workshop in which he received a First Honors Award.

Davida Goldman

Ms. Goldman has worked as a paralegal and law clerk for over ten years.
